Partners are facilitating charitable donations to Developer Camp: The goal of participation in the Program is to facilitate charitable donations to Developer Camp by assessing an additional transaction fee that is ultimately paid out as a charitable donation via $Developer sent to Developer Camp by smart contract.
The AutoBuy Program is not a legal partnership or JV: Partners and Developer Camp are not forming a legal partnership or a joint venture. They are not sharing profits or expenses. They are not assisting each other with operations. Each party remains wholly independent for all purposes.
The AutoBuy Program is not a securities offering: Developer Camp is not the issuer of $Developer and is not offering the Token for sale as an investment contract. $Developer should be viewed as a memecoin pursuant to the SEC’s guidance, which means $Developer is not a security.
Neither Developer Camp nor Partners are selling the Tokens: Developer Camp and Partners are not the “sellers” of the Tokens: Help.Fun’s smart contract uses the revenue from Token purchases to algorithmically control the price of the Token; it does not control such revenues or allocate it anywhere.
